Wholesale Terms & Conditions

These Wholesale Terms & Conditions apply to every approved Nakha Foods wholesale account and every wholesale order placed on it, in addition to our Website Terms of Use and Privacy Policy. By applying for or using a Nakha Foods wholesale account, you agree to these Terms.
Eligibility and Account Approval
A wholesale account is available to qualifying businesses that submit a wholesale application and are approved by Nakha Foods. Approval, and continued account access, is at Nakha Foods' discretion. Approval is not automatic and is not guaranteed by submitting an application.
Reseller Permit and Tax Documentation
Wholesale/resale purchasing may require appropriate reseller permit or tax documentation. Nakha Foods may request, verify, and retain the documentation reasonably required for wholesale and tax compliance purposes.
Entering a reseller permit number does not, by itself, establish tax-exempt status or wholesale account approval — both remain subject to Nakha Foods' review and verification.
Wholesale Pricing, Minimum Orders, and Case Packs
Wholesale pricing, case-pack sizes, and minimum order quantities are shown in your approved account's catalog and are subject to change by Nakha Foods from time to time. The pricing and minimums shown in your account catalog at the time you place an order govern that order.
Ordering and Order Acceptance
A wholesale order you submit is a request to purchase, not a completed sale. An order is accepted only when Nakha Foods confirms it into fulfillment. Nakha Foods may decline, adjust, or cancel an order — for example, due to product unavailability, a pricing error, or an account that is not in good standing.
Payment Methods
Depending on what is enabled for your account, wholesale payment may be made by card or ACH/US bank transfer through Stripe, or by check or other method arranged directly with Nakha Foods.
Payment Terms
Payment terms are approved by Nakha Foods for each wholesale account individually and may be Prepaid, Due on Receipt, Net 7, Net 15, or Net 30. Not every account qualifies for credit (invoice) terms — Prepaid is the default, and any credit terms are extended at Nakha Foods' discretion based on the account's history and standing.
A retailer cannot choose or change its own payment terms. The payment terms shown on your approved account govern every order placed on that account, unless Nakha Foods changes them.
Late or Overdue Accounts
If an account becomes overdue on approved payment terms, Nakha Foods may, at its discretion:
- Place a hold on new ordering privileges
- Suspend credit/invoice terms for future orders
- Require prepayment on future orders
- Suspend wholesale account privileges until the outstanding balance is resolved
Nakha Foods does not currently charge a late fee or interest on overdue balances.
Delivery and Receiving
Please inspect your delivery at the time of receiving whenever reasonably possible, and note any obvious shortage, incorrect item, or visible damage at that time.
Concealed Damage and Quality Claims
A shortage, incorrect item, or damage that is not reasonably visible at the time of delivery — or a quality problem discovered after delivery — should be reported within 48 hours of delivery. A claim is not automatically denied simply because a concealed issue was not noticed immediately at receiving; the 48-hour window is what governs.
We may reasonably ask for your order information, a description of the issue, and photographs where available, to help resolve your claim.
Remedies for Wholesale Claims
Where we confirm a covered claim, our preferred resolution is a replacement or an account credit toward a future order. We do not offer automatic cash refunds for wholesale claims. We do not require frozen or perishable product to be physically returned unless Nakha Foods specifically determines that a return is safe, appropriate, and necessary to evaluate the claim.
Storage, Handling, and Resale Responsibility
Once product has been properly delivered and accepted, you are responsible for appropriate frozen storage, handling, and resale of that product. Nakha Foods is not responsible for deterioration, spoilage, or other issues caused by storage or handling at your business after proper delivery.
Order Cancellation
Either party may cancel a wholesale order before it has been accepted into fulfillment. Once an order has been accepted and preparation has begun, it generally cannot be cancelled, for the same reason consumer orders cannot be cancelled after preparation begins: our products are frozen, perishable food prepared for a specific delivery.
Account Suspension and Termination
Nakha Foods may suspend or terminate a wholesale account, at its discretion, for reasons including non-payment, misuse of the account, providing false information, or violation of these Terms.
Changes to These Terms
Nakha Foods may update these Wholesale Terms & Conditions from time to time. The "Last updated" date at the top of this page reflects the most recent revision. Continuing to use your wholesale account after a change means you accept the updated Terms.
Relationship to Our Other Policies
These Wholesale Terms supplement, and do not replace, our Website Terms of Use and
our Privacy Policy, both of which also apply to your wholesale account.
